We are Diono, a Washington registered corporation (Diono U.S.A.), and its foreign-related company, Diono ULC, a Canadian unlimited liability company (Diono Canada). Diono U.S.A. and Diono Canada shall be collectively referred to herein as Diono, and are the owner and operator of the website www.diono.com and all of its subpages (collectively, the Website), the children’s products sales platform accessed via the Website (the Platform), including any content, functionality, and services offered on or through the Website or Platform (collectively, the Services) (Website, Platform, and Services shall be collectively referred to herein as the Technology).

This Diono Terms and Conditions (Policy) is entered into by and between you and Diono, and governs your access to and use of the Diono website (the "Website"), the children's product marketplace accessed via the Website (collectively, the "Platform"), including any content, functionality, and services offered on or through the Website or Platform (collectively, the "Services"). The Website, Platform, and Services are collectively referred to as the "Technology."

Please read the Terms carefully before you start to use the Technology. By accessing or utilizing any of the Technology, you accept and agree to be bound by these Terms, as well as the following policies, which are incorporated herein by reference:

Collectively, these documents are referred to as the "Policies." If you do not agree to be bound by the Policies, you must not access or use any of the Technology.

1. Promotions

1.1 Welcome Offer

Diono Welcome Offer is contingent on new customer sign-up to Diono e-newsletters and/or SMS messaging. Offer may only be redeemed once on the first full-price purchase of $200 USD or more at checkout. Cannot be combined with any other discount or promo code. Promo code does not apply to: Diono Sale products, our Lifetime Journey Care™ Subscription Program, or Route Shipping Insurance. Price adjustments or price matches on previous orders cannot be honored.

1.2 Sitewide Automatic Discounts

For USA only. Excludes Diono Products in: Black Storm, Gray Storm, Blue Surge, Pink Cotton Candy, Blue Razz Ice, and Purple Wildberry colorways, our Lifetime Journey Care™ subscriptions, and Route Shipping Insurance. Unlimited use while supplies last. Cannot be used in conjunction with any other promotional discounts or codes. Does not apply to any Diono SALE Products. Price adjustments or price matches on previous orders cannot be honored.

1.3 Promotional Codes

Promotional and/or discount codes are offered seasonally to be redeemed on orders at checkout. Promotions can be either an automatic discount or a discount code that can be redeemed at the cart level. All promotional codes cannot be combined with any other discount or promo code. Promo codes do not apply to: Diono Sale products, our Lifetime Journey Care™ Subscription Program, or Route Shipping Insurance. Price adjustments or price matches on previous orders cannot be honored.

1.4 CPST Promotional Codes

CPST codes can only be redeemed after the verification process has been approved for CPST accounts (can take up to 5 business days from the time of submission). Must be signed up with a Diono user account for eligibility consideration. Discount only available to currently certified CPSTs. Excludes our Lifetime Journey Care™ subscriptions, Diono Accessories and Spare Parts, and Route Shipping Insurance. Unlimited use while supplies last. Cannot be used in conjunction with any other promotional discounts or codes. CPST codes cannot be stacked at checkout; place multiple orders if cart includes both FULL and SALE priced Diono products. Price adjustments on previous orders cannot be honored.

1.5 FREE Shipping

Diono offers FREE shipping through FedEx Ground/Home Delivery on all car seat, booster, stroller, carrier, and accessory orders in the continental United States (excluding Alaska and Hawaii), excluding spare and/or replacement parts, and the Diono Lifetime Journey Care™ Subscription, or Route Shipping Insurance.

All spare and/or replacement orders over $75 USD will be eligible for FREE shipping through FedEx. At any time, Diono may update select couriers for shipment (i.e., UPS Ground). All orders shipped with USPS are subject to a shipping and handling fee based on current courier rates.

All other product orders are charged shipping fees based on the size and weight of the product order as well as the distance of delivery from Diono’s fulfillment facility in Sumner, Washington. Please note that some U.S. states and foreign jurisdictions may levy taxes on product order shipping fees.

1.7 Lifetime Journey Care

All Lifetime Journey Care savings offers cannot be used in conjunction with any other promotional discounts or codes being run on Diono.com.

1.8 Price Match

Products that are labeled as "PRICE MATCH" have a guaranteed price match to Amazon.com.

1.9 Diono + Pumpspotting

Diono is not responsible for any technical issues with the Pumpspotting app, Pumpspotting.com, or the accuracy of any information contained within the Pumpspotting application.

2. Eligibility

The Technology is offered and available to users who are 18 years of age or older. By using any of the Technology, you represent and warrant that you are of legal age to form a binding contract with Diono. If you do not meet all of these requirements, you must not access or use any of the Technology.

3. User Accounts

3.1 User Account License

To access or use the Platform, you may be asked to provide certain registration details or other information. You agree that all information you provide to register your Platform account ("Account") is current, complete, and accurate. Upon completion and registration of your Account, Diono will grant you and any persons to whom you wish to provide access to your Account (collectively, "Authorized User(s)") a license to access and use the Technology (the "User License"). Your User License will be conditional upon your compliance with the Policies. Diono reserves the right to disable any Account at any time in Diono’s sole discretion for any or no reason, including if, in Diono’s sole opinion, you have violated any provision of the Policies.

3.2 Account Username and Password

If you are provided with an Account username, password, or any other piece of information as part of Diono’s security procedures, you must treat such information as confidential and must not disclose it to any other person or entity. You acknowledge that your Account is personal to you and agree not to provide any other person with access to the Technology using your credentials.

You also agree to notify Diono immediately, as provided in Section 7.3.1 of these Terms, of any unauthorized access to or use of your Account. You should exercise particular caution when accessing your Account from a public or shared computer so that others are not able to view or record your password or other personal information.

4. Orders

4.1 Orders & Acceptance

Diono reserves the right to accept or reject any product order made via the Technology. By submitting an order through the Technology, you represent and warrant that all personal information provided is valid. Except for products that are out of stock, orders cannot be canceled or changed once submitted.

4.2 Pricing and Product Descriptions

When you place an order through the Technology, you agree to the pricing and terms displayed at the time of purchase. All product prices, descriptions, and images are subject to change without notice. Prices are listed in U.S. Dollars and do not include shipping or handling fees, which will be indicated during checkout.

Diono is not responsible for inadvertent pricing errors. If you notice a discrepancy, please contact us within 30 days to report the issue.

4.3 Lack of Product Availability

If a product becomes unavailable after an order is placed, Diono reserves the right to cancel the order and notify you using the contact information provided.

4.4 Replacement Parts

Diono strongly recommends that you only order replacement parts listed as compatible with your specific product. Diono does not guarantee the availability of replacement parts. Orders for replacement parts may only be completed using a credit card, debit card, or PayPal.

5. Prohibited Activities and Uses

You may only use the Technology for lawful purposes and in accordance with these Policies. You agree not to use the Website, Platform, or any Services:

  1. In violation of any applicable law or regulation;

  2. To exploit, harm, or attempt to harm minors, including by exposing them to inappropriate content, requesting personal information, or otherwise;

  3. To send, knowingly receive, upload, download, use, or reuse any content that does not comply with these Policies;

  4. To transmit unauthorized advertising or promotional materials, including junk mail, chain letters, spam, or other similar solicitations;

  5. To impersonate Diono, a Diono agent, another user, or any other person or entity;

  6. To interfere with any user's enjoyment of the Technology or harm Diono’s operations;

  7. To disable, overburden, damage, or impair the Technology;

  8. To use automated tools (e.g., robots, spiders) to access the Technology without prior written consent;

  9. To introduce malicious content such as viruses, trojan horses, worms, or logic bombs;

  10. To gain unauthorized access to or interfere with servers, databases, or systems connected to the Technology; or

  11. To interfere with the proper functioning of any aspect of the Technology.

6. Termination

Diono reserves the right to:

  • Disclose your identity or any related information to third parties if your use of the Technology violates their rights (e.g., intellectual property, privacy);

  • Take legal action, including reporting to law enforcement, for illegal or unauthorized use; and

  • Suspend or terminate your Account or access to any part of the Technology for violations of these Policies.

7. Third Parties

7.1 Third-Party Links

The Technology may contain links to third-party websites or applications. Diono does not control and is not responsible for the content, terms of use, privacy policies, or practices of any third-party site or application. By using the Technology, you release Diono from all liability related to third-party websites or applications. Diono is not a party to and does not monitor interactions between you and such third parties.

7.2 Third-Party Content

Third-party content accessed via the Technology is provided "as is" and may not be used, copied, or distributed without permission from its owner. Diono is not responsible for the accuracy, safety, or legality of any third-party content and does not endorse any such content or opinion. You expressly waive any claims against Diono related to such content and agree to indemnify Diono against all related liability.

7.3 Third-Party Product and Service Providers

Diono may utilize third-party providers for functions such as hosting, networking, and data storage. While Diono will make a good faith effort to remedy issues with third-party services, it is not liable for any service failure caused by such third parties.

7.4 Third-Party Software

The Technology may include third-party software governed by separate license terms. You may use such software in accordance with both these Terms and the respective third-party license terms. All other uses are prohibited.

7.5 Interoperation

The Technology may interoperate with third-party operating systems and applications not owned or licensed by Diono. You are solely responsible for obtaining the necessary licenses to use such third-party systems or software.

8. Linking

8.1 General Requirements

You may link to the Website in any social media or online postings, provided you do so in a manner that:

  • (a) Is fair, accurate, and legal;

  • (b) Does not damage Diono’s reputation; and

  • (c) Does not suggest any form of association, approval, or endorsement by Diono or its agents where none exists.

8.2 Linking Functionality

The Technology may provide certain social media features (“Linking Features”) that allow you to:

  • (a) Link from your own or a third-party website to specific content on the Technology;

  • (b) Send emails or other communications containing content or links to content on the Website or Platform; and

  • (c) Display limited portions of the Technology’s content on your own or third-party websites.

You may only use these Linking Features as provided by Diono and solely for the specific content they are associated with, and in accordance with any additional terms Diono provides.

You must not:

  • (i) Display the Website or Platform within another site (e.g., framing, deep linking, in-line linking);

  • (ii) Link to any part of the Website or Platform other than the homepage;

  • (iii) Take any action that is inconsistent with Diono's Policies.

The website from which you use Linking Features must comply with all Diono Policies.

9. Warranties and Representations

You warrant and represent that you:

  • (a) Are at least 18 years old and legally competent to accept these Policies;

  • (b) Will not modify, adapt, or access any portion of the Technology in unauthorized ways;

  • (c) Will not reproduce, copy, sell, or exploit the Technology without Diono’s written permission;

  • (d) Will not use the Technology for unlawful or prohibited purposes;

  • (e) Will take reasonable steps to protect your account and associated information;

  • (f) Will use the Technology in compliance with applicable laws and regulations.

10. Availability

Diono reserves the right to amend, restrict, or terminate the Website, Platform, or Services at any time without notice. Diono is not liable for any unavailability of the Technology at any time or for any period.

11. Limitation of Liability

11.1 Warranty Disclaimer

The Technology is provided “as is.” Diono disclaims all warranties—express, implied, or statutory—including but not limited to warranties of:

  • Merchantability

  • Satisfactory quality

  • Fitness for a particular purpose

  • Accuracy

  • Timeliness

  • Title

  • Non-infringement

Diono does not guarantee:

  • That the Technology will meet your expectations;

  • That it will operate without interruption or errors;

  • That defects will be corrected;

  • That it will be compatible with your devices;

  • That your data will not be lost, corrupted, or destroyed.

11.2 Damage Limitations

Diono will not be liable for any direct, indirect, incidental, special, punitive, or consequential damages, including:

  • Injuries or damages related to use or misuse of the Technology;

  • Third-party conduct on the Technology;

  • Unauthorized access or data breaches;

  • Service interruptions;

  • Transmission of viruses or similar threats.

To the fullest extent permitted by law, Diono’s maximum liability is limited to the actual amount you paid for the goods or services purchased through the Platform.

12. Indemnity

You agree to indemnify, defend, and hold harmless Diono and its affiliates, officers, employees, and agents from any third-party claims, damages, liabilities, losses, costs, and expenses (including attorney’s fees) arising from:

  • (a) Violation of third-party rights (e.g., copyright, privacy);

  • (b) Harm caused to third parties due to your use of the Technology;

  • (c) Violations of law or regulation via your actions or omissions.

These obligations survive termination of these Terms.

13. Changes to the Terms and Policies

Diono may update these Policies at any time. All changes are effective upon posting. Continued use of the Technology means you accept and agree to the revised Policies. You are responsible for reviewing the Terms regularly.

14. General Terms

14.1 Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Washington. Disputes shall be resolved through:

  • Good-faith negotiations or mediation (if requested),

  • Binding arbitration through JAMS in Seattle, WA, under the AAA Commercial Arbitration Rules.

The prevailing party is entitled to recover reasonable attorney’s fees and costs.

14.2 Assignment

You may not assign or transfer any rights or obligations without Diono’s prior written consent. Diono may assign its rights without your consent.

14.3 Relationship of the Parties

These Terms do not create a joint venture, partnership, employment, or agency relationship between you and Diono.

14.4 Entire Agreement and Severability

These Terms constitute the full agreement. If any provision is found invalid, the rest remain enforceable.

14.5 Construction

Words like “including” shall be interpreted as “including without limitation.” References to other agreements or laws include any updates or replacements.

14.6 Waiver

A waiver of any provision is not a waiver of future rights. Diono’s failure to enforce a provision does not waive that right.
